terms of service

our commitment to transparency, security, and the protection of your practice's data. please read these terms carefully before using the coya ai platform.

acceptance of terms

by accessing or using coya ai, you agree to be bound by these terms of service. if you are using the service on behalf of a clinic or organization, you confirm that you have the authority to bind that entity to this agreement. if you do not agree to these terms, please do not use the service.

description of service

coya ai provides an autonomous ai receptionist platform designed for behavioral health practices. the service includes voice call handling, appointment scheduling, patient intake, and integration with your existing practice management systems. the platform is built to be hipaa compliant, crisis safe, and practice aware.

service level and availability

coya ai strives to maintain 99.9% uptime for all production services. the service is provided on an "as is" basis. we are not liable for missed calls or scheduling conflicts resulting from third party calendar provider downtime, telephony network outages, or force majeure events. planned maintenance windows will be communicated at least 48 hours in advance.

founder program

the founder offer ($1,500/mo) is limited to the first 15 qualified behavioral health clinics. this rate is locked for the lifetime of the account as long as the subscription remains active. a $500 nonrefundable commitment fee is required to secure a founder position. founder benefits include priority support, direct access to the product team, and influence on the product roadmap.

ai behavior and responsibility

you are responsible for the training data, business rules, and configurations provided to the ai. coya ai will follow your configured protocols, but cannot be held liable for specific conversation outcomes or guidance provided by the ai agent outside of standard booking and intake procedures. you agree to review and update your ai configuration regularly to ensure accuracy.

data ownership

you retain full ownership of all patient transcripts, call logs, intake records, and customer data. coya ai maintains a limited license to process this data solely for the purpose of delivering and improving your specific instance of the service. we will never use your data to train models for other customers without your explicit written consent.

payment terms

subscription fees are billed monthly in advance. all fees are nonrefundable except where required by applicable law. if payment fails, we will attempt to collect for 7 days before suspending service. you are responsible for all applicable taxes. pricing changes will be communicated at least 30 days in advance and will not affect locked founder rates.

termination

either party may terminate this agreement with 30 days written notice. upon termination, we will provide a full export of your data within 14 business days. after the export period, your data will be permanently deleted from our systems within 30 days, in compliance with our data retention policy.

limitation of liability

to the maximum extent permitted by applicable law, coya ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

modifications to terms

we reserve the right to modify these terms at any time. material changes will be communicated via email at least 30 days before taking effect. continued use of the service after changes become effective constitutes acceptance of the modified terms. the current version of these terms will always be available at this url.
